Scotty AI — End User License Agreement (EULA)

PLEASE READ THIS END USER LICENSE AGREEMENT ("AGREEMENT") CAREFULLY BEFORE ACCESSING OR USING SCOTTY AI ("SOFTWARE"). BY ACCESSING OR USING THE SOFTWARE, YOU ("USER" OR "YOU") AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE, DO NOT ACCESS OR USE THE SOFTWARE.

This Agreement is between you and

Scotty AI (“Licensor,” “we,” “our,” or “us”), governing your access to and use of the Scotty AI platform, related applications, and any associated updates, upgrades, or content.

1. License Grant

We grant you a limited, non-exclusive, non-transferable, and revocable

license to access and use Scotty AI strictly for your internal business or personal accounting purposes, subject to compliance with this Agreement.

2. Restrictions

You agree NOT to:

Reverse engineer, decompile, or attempt to extract the source code of Scotty AI.Modify, adapt, copy, distribute, resell, lease, or sublicense any part of Scotty AI.Use Scotty AI to build a competing product or service.Use the Software in any unlawful, harmful, or fraudulent way.

3. Ownership

Scotty AI is owned and operated by Scotty AI. All rights, title, and interest in and to the Software (including any updates, enhancements, and modifications) remain the exclusive property of Licensor.

4. User Data and Privacy

By using Scotty AI, you agree to our Privacy Policy. You maintain ownership of your data, but you grant Scotty AI the right to process your data as necessary to provide the services.

5. Updates and Modifications

We may update Scotty AI from time to time to improve performance, enhance functionality, or address security issues. Such updates may be automatic and may require your installation approval.

6. Termination

We may suspend or terminate your license immediately, without notice, if you violate any term of this Agreement. Upon termination, you must immediately stop using Scotty AI and delete all copies in your possession.

7. Disclaimer of Warranties

Scotty AI is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory

, including, but not limited to, warranties of merchantability, fitness for a particular purpose, non-infringement, or availability.

8. Limitation of Liability

To the fullest extent permitted by law,

Licensor shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use Scotty AI.

9. Indemnification

You agree to defend, indemnify, and hold harmless

Scotty AI and its affiliates from any claims, losses, liabilities, damages, costs, or expenses (including legal fees) arising from your use of the Software or violation of this Agreement.

10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of [Insert Jurisdiction — e.g., "the State of Delaware, United States"], without regard to its conflict of law principles.

11. Changes to this Agreement
